General Terms and Conditions of Sale and Service (B2B)

These General Terms and Conditions govern the commercial relationships between Servitec Solutions, S.L. and its business or professional clients. They apply to all sales, supply, installation, maintenance, and technical service operations, including software, machinery, and CAD-CAM solutions.
Acceptance of a quotation, order, or invoice implies full and unconditional acceptance of these terms and conditions.

2. Purpose and Scope of Application
These conditions apply to all product sales and technical services provided by Servitec Solutions to companies or professionals. They prevail over any other customer terms unless expressly agreed otherwise in writing by both parties.
3. Orders and Acceptance
Orders must be placed in writing, by email, or through acceptance of a quotation.
The contract is deemed concluded once Servitec Solutions confirms the order in writing.
Any subsequent modification shall require the express consent of both parties.
4. Prices and Payment Terms
Prices stated in quotations or offers exclude VAT and other applicable taxes or fees, unless expressly indicated otherwise.
Servitec Solutions may update prices prior to order acceptance.
Payment shall be made in the agreed form and within the agreed deadlines (bank transfer, PayPal, or other agreed methods).
Failure to pay, in whole or in part, entitles Servitec Solutions to suspend deliveries or services until full payment is received and to claim late payment interest in accordance with Law 3/2004 on combating late payment in commercial transactions.
5. Delivery and Transport
Deliveries are made under EXW (Ex Works) terms from Servitec Solutions’ facilities or those of the manufacturer.
Risk is transferred to the customer once the goods leave the warehouse.
Delivery times are indicative; delays do not entitle the customer to compensation or cancellation unless otherwise agreed in writing.
6. Installation and Technical Services
If the contract includes installation, commissioning, training, or maintenance, the customer must provide adequate access, power, and facilities.
Travel and accommodation expenses of technical personnel shall be borne by the customer unless otherwise specified in the quotation.
Servitec Solutions will perform the services with the highest professional diligence.
7. Receipt of Goods
The customer must inspect the number and condition of packages upon delivery.
If any damage or irregularity is detected, it must be noted on the delivery note and reported within 48 hours.
Signing the delivery note implies acceptance of the goods, without prejudice to claims for hidden defects.
8. Warranties
New products are covered by the manufacturer’s warranty, normally valid for one year from delivery, unless otherwise stated in the quotation.
Damage resulting from misuse, improper installation, unauthorized handling, or lack of maintenance is excluded.
Refurbished products carry a six-month warranty, unless otherwise agreed.
In case of an incident, the customer must return the product to Servitec Solutions or the manufacturer for evaluation, repair, or replacement.
9. Limitation of Liability
Servitec Solutions shall not be liable for indirect damages, loss of profits, or business interruption arising from the use or inability to use products or services.
Total liability shall be limited to the amount actually paid by the customer for the product or service giving rise to the claim.
10. Intellectual Property and Software
Servitec Solutions acts as an authorized distributor of Audaces software products, whose intellectual property rights belong to Audaces Automação e Informática Industrial Ltda. (Brazil).
Servitec Solutions holds no ownership rights over said software and is limited to its commercialization, technical support, and installation in accordance with the manufacturer’s license terms.
11. Data Protection
Servitec Solutions will process personal data of business contacts in compliance with Regulation (EU) 2016/679 (GDPR) and Organic Law 3/2018.
The purpose of processing is the administrative, contractual, and commercial management between the parties.
Data subjects may exercise their rights of access, rectification, erasure, and objection by emailing comercial@servitec-solutions.com.
12. Force Majeure
Neither party shall be liable for any failure to perform obligations caused by events beyond their reasonable control, such as strikes, fires, pandemics, wars, or supply disruptions.
During such force majeure events, the affected obligations shall be suspended without penalty.
13. Governing Law and Jurisdiction
These terms and conditions are governed by Spanish law, in particular the Commercial Code and Civil Code.
The parties expressly submit to the Courts and Tribunals of Córdoba (Spain), waiving any other jurisdiction that may apply.
